Terms of Service

These terms are the agreement between you and Yellow Monk Technologies LLP, a limited liability partnership incorporated in India under the Limited Liability Partnership Act, 2008, LLPIN AAY-1244, with its registered office at 3 Kalpataru, Kishor Suryawanshi Marg, MERI, Nashik, Maharashtra 422003, India. We trade as SquareUp. In these terms, we, us and our mean Yellow Monk Technologies LLP.
By creating an account, paying for a plan, or using SquareUp in any way, you accept these terms. If you are accepting on behalf of a company, you confirm you are authorised to bind it.
1. What SquareUp is
SquareUp is commerce software. It gives a brand a storefront, a catalog, orders, inventory, marketing and a selling agent that talks to shoppers on the web and on WhatsApp. Merchants use it to run their own online store.
We are a technology provider. We are not a retailer, a distributor, a bank, or a payment system operator. We do not own, hold or sell the goods that merchants sell through their stores.
2. Who sells what, and who takes the money
Two separate things happen on SquareUp, and it matters which one you are in.
You pay us for the software. When you subscribe to a SquareUp plan, Yellow Monk Technologies LLP is the seller and you are our customer. Section 4 governs that.
Shoppers pay merchants for goods. When a shopper buys something on a store hosted by SquareUp, the contract of sale is between that shopper and that merchant. The merchant is the seller and the merchant of record. They set the price, own the stock, fulfil the order, and are responsible for the goods, for their descriptions, for taxes on the sale, and for returns and refunds. We route the payment through a licensed payment gateway to the merchant, and we provide the software that records the order. We are not a party to that sale and we do not take a cut of it.
Merchants are responsible for holding their own registrations and licences, and for publishing their own returns, refunds, shipping and privacy policies on their store.
3. Your account
You must be at least 18 and able to enter a contract. Give us accurate details and keep them current. You are responsible for everything that happens under your account and for keeping your credentials safe. Tell us at hello@joinsquareup.com as soon as you suspect unauthorised access.
You are responsible for the people you invite into your store and for what they do with the access you give them.
4. Plans, fees and billing
Our plans and their prices are on our pricing page. Subscriptions are billed in advance, on a recurring monthly cycle, to the payment method you authorise, and renew automatically until you cancel.
- Prices are shown in Indian rupees and US dollars. You are charged in the currency shown at checkout for your region.
- Prices are exclusive of taxes. Any tax we are required by law to collect is added at checkout and shown before you pay.
- If a recurring charge fails, we retry it and email you. If it keeps failing we may suspend the paid features until it clears.
- We can change our prices. Existing subscribers get at least 30 days notice by email before a change applies to them, and you can cancel before it takes effect.
- Where a plan includes a monthly pool of AI tokens, that pool is the included amount for that month and does not carry over. If you connect your own AI provider key, you contract with and pay that provider directly.
Cancellation and refunds are governed by our Refund and Cancellation Policy, which forms part of these terms.
5. What you may not sell or do
You may sell only goods and services you are legally allowed to sell, and you must comply with the law wherever you sell. You may not use SquareUp for any of the following:
- Anything illegal, or anything that infringes someone else's intellectual property or privacy.
- Narcotics, controlled substances, drug paraphernalia, or unapproved pharmaceuticals and medical claims.
- Weapons, ammunition, explosives, or the components of any of them.
- Counterfeit or replica goods, stolen goods, or wildlife and products made from protected species.
- Adult content and services, gambling, betting, lotteries, and games of chance played for money.
- Financial services we are not licensed to support, including unregistered securities, multi-level marketing, pyramid or money-circulation schemes, cryptocurrency exchange or trading, and money transfer.
- Any attempt to launder money, evade sanctions, process payments for someone else, or take payments for goods you cannot deliver.
- Sending unsolicited marketing, scraping the service, probing or attacking its security, reverse engineering it, or reselling it as your own.
We may refuse, suspend or remove a store that breaks these rules, and we will tell you why.
6. Your data stays yours
You keep full ownership of your catalog, your orders, your customer relationships and everything else you put into SquareUp. Your orders and your customer list export to CSV from your console whenever you like, and if you want anything else in your account, ask us at hello@joinsquareup.com and we will send it. You can take all of it with you if you leave.
You give us the permission we need to host and process that data in order to run the service for you, including sending it to the infrastructure and AI providers the service depends on. How we handle personal data is set out in our Privacy Policy.
When you sell to shoppers, you are the controller of their personal data and we process it on your instructions. You are responsible for having a lawful basis to collect it and for honouring the rights your shoppers have over it.
We own the software, the design and the brand. Nothing here transfers any of that to you, and nothing transfers your content to us.
7. The selling agent
SquareUp includes an agent that answers shoppers and can act on rules you set. It is software, and it can be wrong. You decide what it is allowed to do, you can review and change its behaviour, and actions that move money or cannot be undone always need a human to confirm them. You are responsible for what your store says and does to your shoppers, including through the agent.
8. Third-party services
SquareUp connects to services run by other companies, including payment gateways, shipping carriers, messaging providers and AI providers. Those services have their own terms, and we are not responsible for how they perform. Payments are processed by licensed payment gateways. We never store your full card details.
9. Availability, suspension and ending the agreement
We work to keep SquareUp available, but we do not promise it will be uninterrupted or error free. We may change or retire features, and we will give you reasonable notice before removing something you rely on.
You can stop using SquareUp and cancel at any time. We may suspend or close an account that breaks these terms, that puts the platform or other users at risk, or that we are required by law or by a payment provider to stop serving. Except where the law or a fraud investigation prevents it, we give notice and a chance to put it right, and we give you a reasonable window to export your data.
10. Warranties and liability
The service is provided on an as-is and as-available basis. To the fullest extent the law allows, we exclude implied warranties of merchantability, fitness for a particular purpose and non-infringement.
To the fullest extent the law allows, neither party is liable for indirect, incidental, special or consequential loss, or for lost profits, lost revenue, lost data or lost goodwill. Our total liability to you for any claim connected with the service is limited to the fees you paid us in the three months before the claim arose.
Nothing in these terms limits liability for fraud, for wilful misconduct, or for anything that cannot be limited under Indian law.
You will indemnify us against claims arising from the goods or services you sell, from your breach of these terms, and from your handling of your shoppers' data.
11. Changes to these terms
We may update these terms. If a change materially affects you, we will email you at least 30 days before it takes effect. Continuing to use SquareUp after that means you accept the updated terms. The date at the top of this page always shows the current version.
12. Governing law
These terms are governed by the laws of India. The courts at Nashik, Maharashtra have exclusive jurisdiction over any dispute. Before going to court, both sides agree to try to resolve the matter in good faith by writing to the other, and to allow 30 days for a response.
